Welcome to join the family of HK BioCode Company Limited (hereinafter referred to as “BioCode”) as our permanent member. By signing this BC Platform Service Agreement (hereinafter referred to as “this Agreement”), we will provide you with a full range of health services in accordance with your membership status!
Index keywords listed before each service clause are only intended to help you understand the main idea of such clauses and shall not affect or restrict the meaning or interpretation of any clauses under this Agreement. To safeguard your own rights and interests, you are advised to read the specific wording of each clause carefully.
[Read Carefully]
Before clicking to agree to this Agreement during the registration application process, you shall read this Agreement thoroughly. You must carefully read and fully understand all clauses, particularly those clauses that exempt or limit liability, as well as clauses governing applicable laws and dispute resolution. Clauses exempting or limiting liability shall be marked with bold and underlined text for your key attention. If you have any questions regarding this Agreement, you may consult BC Platform Customer Service.
[Signatory Confirmation Action]
After you fill in information as prompted on the registration page, read and agree to this Agreement, and complete all registration procedures, it shall be deemed that you have fully read, understood and accepted all contents of this Agreement, reached a consensus with BioCode, and become a “User” of the BC Platform. If you disagree with this Agreement or any of its terms while reading it, you shall immediately terminate the registration process.
If any inconsistency exists between this Agreement version and versions in other languages, the Simplified Chinese version shall prevail.
- Definitions
BioCode: The operator of the BC Platform, namely HK BioCode Company Limited.
BC Platform: Refers to BioCode’s websites (domain names: ibreastguardian.com; hkbiocode.com), all BioCode applications, websites and client terminals.
BC Platform Services: Various services provided by BioCode to you based on the Internet, big data, and all service forms (including new service forms arising from future technological development).
BC Platform Rules: All rules, interpretations, announcements and other content published and subsequently to be published on all BC Platform rule channels, as well as various rules, implementation detailed rules, product process instructions, announcements released in forums, help centers and other sections of each platform.
BioCode Network Rules: Various rules specified on the BioCode Network Rules channel, details of which are set out herein.
Affiliated Companies: Individually or collectively refers to operators other than the BC Platform operator.
Same User: Persons who use the same identity authentication information, or multiple BioCode accounts whose actual controller is identified as the same person after BioCode’s investigation, shall all be deemed the Same User.
- Scope of Agreement
2.1 Contracting Parties
[Equal Parties] This Agreement is concluded between you and the BC Platform operator, and this Agreement shall have contractual binding force on both you and the BC Platform operator.
2.2 Supplementary Agreements
Due to the rapid development of the Internet, the clauses specified in this Agreement signed by you and BioCode cannot fully list and cover all rights and obligations between you and BioCode, and existing stipulations cannot guarantee full compliance with future development needs. Therefore, BC Platform Legal Statements, Privacy Policy and BC Platform Rules are supplementary agreements to this Agreement, inseparable from this Agreement and bearing equal legal effect. Your use of BC Platform Services shall be deemed your consent to the aforesaid supplementary agreements.
- Account Registration and Use
3.1 User Eligibility
You confirm that prior to commencing the registration process to use BC Platform Services, you shall possess civil capacity corresponding to your acts as prescribed by local laws. If you lack such civil capacity matching your acts, you and your guardians shall bear all consequences arising therefrom in accordance with the law.
In addition, you warrant that you are not subject to any trade restrictions, sanctions or other legal and regulatory restrictions imposed by any country, international organization or region; otherwise, you may be unable to register for or use BC Platform Services normally.
3.2 Account Provisions
[Account Acquisition]
After you fill in information as prompted on the registration page, read and agree to this Agreement, and complete all registration procedures, you may obtain a BC Platform Account and become a BC Platform User.
BC Platform permits each User to hold only one BC Platform Account. If evidence exists or BC Platform reasonably believes you improperly registered or use multiple BC Platform Accounts, BC Platform may take measures including freezing or closing accounts, cancelling orders, refusing service provision, and you shall be liable for compensation if losses are caused to BC Platform and relevant parties.
[Account Usage]
You may log into the BC Platform using the BioCode member name, email address, mobile phone number (collectively “Account Name”) you set or confirmed, and the password you create (Account Name and password together referred to as “Account”).
As your BioCode Account is linked to your personal information and BC Platform commercial information, your BioCode Account is for your exclusive personal use only. Without BC Platform’s consent, any act whereby you directly or indirectly authorize third parties to use your BioCode Account or access information under your Account shall be invalid. If BC Platform determines that use of your BioCode Account may endanger your account security and/or BC Platform information security, BC Platform may refuse to provide corresponding services or terminate this Agreement.
[Account Transfer]
As User Accounts are linked to users’ credit information, you may only transfer your Account if expressly permitted by law, by judicial ruling, or with BioCode’s approval and in compliance with the Account transfer procedures specified under BC Platform Rules. Upon transfer of your Account, all rights and obligations under such Account shall be transferred concurrently. Save for the foregoing circumstances, your Account may not be transferred in any manner; otherwise, BC Platform reserves the right to hold you liable for breach of contract, and you shall bear all liabilities arising therefrom.
[Real-name Authentication]
As the BC Platform operator, to facilitate your full use of various BC Platform Services and protect your account security, BioCode may require you to complete real-name authentication in accordance with local laws for specific service plans you subscribe to.
[Recovery of Inactive Accounts]
BioCode may recover your Account, rendering it inaccessible for login and terminating all corresponding services, if your Account meets all the following criteria simultaneously:
- You have not bound a real-name authenticated account as required by your subscribed specific service plan;
- No login to any BC Platform for six consecutive months;
- No outstanding valid services under your subscribed specific service plan.
3.3 Management of Registration Information
3.3.1 Truthfulness and Legality
[Truthful Information] When using specific BC Platform service plans, you shall provide accurate and complete information (including your full name, email address, contact phone number, mailing address, etc.) as prompted on BC Platform pages to facilitate communication between BioCode or other Users and you. You acknowledge and agree that you are obligated to maintain the truthfulness and validity of the information you provide.
[Legality of Member Name] When using specific BC Platform service plans, the BioCode member name you set shall not violate local laws, regulations and BioCode Network Rules governing member name management; otherwise, BioCode may revoke your BioCode member name. Revocation of your member name shall not prevent you from logging into the BC Platform via email or mobile phone number to use BC Platform Services.
3.3.2 Information Update and Maintenance
When using specific BC Platform service plans, you shall promptly update the information you provide. Where laws explicitly mandate BioCode, as a platform service provider, to verify certain Users’ information, BioCode shall conduct periodic inspections and verifications of your information in accordance with the law, and you shall cooperate by providing the latest, truthful, complete and valid information.
If BioCode fails to contact you using the latest information you submitted, you fail to provide information promptly upon BioCode’s request, the information you provide is manifestly untrue, or administrative or judicial authorities confirm your information is invalid, you shall bear all losses and adverse consequences incurred to yourself, third parties and BioCode as a result. BioCode may issue inquiries or rectification notices to you, require you to complete re-authentication, and may suspend or terminate provision of partial or all BC Platform Services to you, for which BioCode shall not be liable.
3.4 Account Security Standards
[Obligation to Safeguard Account Security] Your Account is set and kept by yourself; BioCode will never proactively request your Account password at any time. You are therefore strongly advised to properly safeguard your Account and ensure you log out and exit the BC Platform via proper procedures at the end of each online session.
BioCode shall not be liable for losses and consequences arising from your voluntary disclosure of account credentials, or account compromise due to hacking, fraud or other acts perpetrated by third parties. You shall pursue remedies against the infringer through judicial, administrative or other relief channels.
[Self-liability for All Account Activity] Save for instances of fault on BioCode’s part, you shall be responsible for all outcomes of activities conducted under your Account (including without limitation electronically signing various agreements, publishing information, purchasing goods and services, disclosing information, etc.).
[Daily Maintenance Guidelines] If you detect any unauthorized login to your BC Platform Account or any circumstances that may lead to account theft or loss, you shall immediately notify BioCode. You acknowledge that BioCode requires reasonable time to act upon your requests, and actions taken by BioCode at your request may not prevent or mitigate the occurrence or escalation of harm. BioCode shall not be liable unless statutory fault is established on BioCode’s part.
- BC Platform Services
4.1 Service Content
4.2 Transaction Dispute Resolution
[Dispute Resolution Channels] If a dispute arises between you and another User during transactions on the BC Platform, either party may resolve the dispute via any of the following channels:
- Voluntary negotiation with the opposing party to the dispute;
- Utilize the dispute mediation service provided by the BC Platform;
- Request mediation from consumer associations or other legally established mediation organizations;
- File a complaint with relevant administrative authorities;
- Submit arbitration to an arbitration institution pursuant to an arbitration agreement (if any) reached with the opposing party to the dispute;
- Institute litigation with the people’s court.
If you disagree with a mediation ruling, you retain the right to resolve the dispute through other channels. However, pending a final judgment rendered via other dispute resolution channels, you shall first perform the mediation ruling.
4.3 Limitation of Liability
[Force Majeure and Third-Party Causes] BioCode shall perform basic safeguard obligations as prescribed by law, but shall not bear corresponding liability for breach of contract for performance impediments, defective performance, delayed performance or modified performance arising from the following circumstances:
- Force majeure events including natural disasters, strikes, riots, wars, government acts, judicial or administrative orders;
- Public service failures such as power outages and communication network breakdowns, or third-party acts;
- Routine or emergency equipment and system maintenance, equipment and system failures, network information and data security incidents, provided BioCode has exercised good faith management.
- Protection and Authorization of User Information
5.1 Protection of Personal Information
BioCode attaches great importance to Users’ personal information (information that can identify a User independently or when combined with other information). When you use services provided by BioCode, you consent to BioCode collecting, storing, using, disclosing and protecting your personal information in accordance with the Privacy Policy published on the BC Platform. BioCode intends to clearly explain its processing practices for your personal information through the Privacy Policy, and you are advised to read the full Privacy Policy to better protect your privacy rights.
5.2 Warranties and Authorization for Non-Personal Information
[Publication of Information] You warrant and represent that you hold legitimate and corresponding rights to all information you publish. Otherwise, BioCode may delete or block such information in accordance with applicable laws and this Agreement.
[Prohibited Information] You shall ensure all information you publish does not contain any of the following content:
- Content violating prohibitory provisions under local laws and regulations;
- Political propaganda, feudal superstition, obscene, pornographic, gambling, violent, terrorist content or content inciting crimes;
- Fraudulent, false, inaccurate or misleading content;
- Content infringing third-party intellectual property rights, trade secrets or other proprietary rights;
- Content insulting, defaming, intimidating or invading third-party privacy or other legitimate rights and interests;
- Malware, code such as viruses, Trojans and crawlers that may damage, tamper with, delete or disrupt normal operation of any BC Platform systems, or secretly access data and personal information of the BC Platform and other Users without authorization;
- Other content contrary to public interest or public morality, or unsuitable for publication on the BC Platform as stipulated under relevant BC Platform Agreements and Rules.
[Authorization for Use] For text, images, videos, audio and other non-personal information you provide, publish or generate during your use of BC Platform Services, you grant BioCode and its Affiliated Companies a free, global exclusive license to use, and sublicense to third parties, such information, together with the right to collect evidence and initiate litigation against third-party infringements in BioCode’s own name, for the legal term of protection. You consent to BioCode and its Affiliated Companies storing, using, reproducing, revising, editing, publishing, displaying, translating, distributing your non-personal information or creating derivative works therefrom, and incorporating such information into other works via any known or future-developed forms, media or technologies.
- User Breach of Contract and Remedies
6.1 Determination of Breach
You shall be deemed in breach of contract if any of the following circumstances occur:
- You violate applicable laws and regulations when using BC Platform Services;
- You breach this Agreement or its supplementary agreements (as specified in Clause 2.2 of this Agreement).
To adapt to e-commerce development and meet massive Users’ demand for efficient and high-quality services, you acknowledge and agree that BioCode may stipulate procedures and standards for determining breach of contract in BC Platform Rules. For example: BioCode may determine whether you have committed a breach based on the correlation between your User data and massive User data; you are obligated to fully produce evidence and provide reasonable explanations for abnormal data, failing which you shall be deemed in breach of contract.
6.2 Remedial Measures for Breach
[Information Handling] If information you publish on the BC Platform constitutes a breach, BioCode may immediately delete or block such information or place your account under supervision in accordance with corresponding rules.
[Restrictions on User Activity] If acts you commit on the BC Platform, or acts committed outside the BC Platform yet impacting the BC Platform and its Users, constitute a breach, BioCode may impose account demerit points, restrict participation in marketing activities, suspend provision of partial or all services, deduct liquidated damages and other remedies against you in accordance with corresponding rules. If your conduct constitutes a fundamental breach, BioCode may freeze your Account and terminate service provision.
[Publication of Remedial Results] BioCode may publish information on remedial measures imposed for your breach, as well as illegal information confirmed by effective legal documents issued by national administrative or judicial authorities, on the BC Platform.
6.3 Liability for Compensation
If your conduct causes losses to BioCode and/or its Affiliated Companies (including direct economic losses, reputational damage, and indirect economic losses such as compensation payments, settlement amounts, legal fees and litigation costs incurred to third parties), you shall compensate BioCode and/or its Affiliated Companies for all such losses in full.
If third parties assert claims against BioCode and/or its Affiliated Companies arising from your conduct, BioCode and/or its Affiliated Companies may recover all losses from you after fulfilling monetary payment and other obligations to such third parties.
If funds held in your Account are insufficient to cover such compensation amounts, BioCode and/or its Affiliated Companies may directly offset such amounts against your rights under other agreements between you and BioCode and/or its Affiliated Companies and reserve the right to pursue outstanding balances.
6.4 Special Provisions
[Commercial Bribery] If you provide physical goods, cash, cash equivalents, services, travel or other benefits whose value far exceeds the scope of normal business negotiations to employees or consultants of BioCode and/or its Affiliated Companies, such conduct may be deemed commercial bribery. Upon occurrence of such conduct, BioCode may immediately terminate all cooperation with you and claim liquidated damages and/or compensation from you, calculated based on economic losses and reputational harm sustained by BioCode due to your bribery.
[Cross-Agreement Remedies] If BioCode terminates this Agreement due to your material breach, BioCode and/or its Affiliated Companies may suspend or terminate cooperation under other agreements with you to maintain platform order and protect consumer rights and notify you in the manner set forth in Clause 8 of this Agreement.
If other agreements signed between BioCode and you, or agreements between BioCode and/or its Affiliated Companies and you explicitly stipulate cross-agency remedies applicable to cooperation under this Agreement, BioCode may suspend or terminate such agreements upon receiving relevant instructions to maintain platform order and protect consumer rights, and notify you in the manner set forth in Clause 8 of this Agreement.
- Amendment to the Agreement
BioCode may revise this Agreement and its supplementary agreements from time to time to align with changes to local national laws and regulations, maintain transaction order and protect consumer rights. Revised agreements and supplementary agreements (hereinafter “Revised Terms”) shall be notified to you via statutory procedures and in the manner set forth in Clause 8 of this Agreement.
If you disagree with the Revised Terms, you may submit feedback to BioCode prior to the effective date of the Revised Terms. BioCode may adjust the Revised Terms to its discretion if your feedback is adopted.
If you still disagree with the Revised Terms after they take effect, you shall cease using BC Platform Services as of the effective date of the Revised Terms, and the Revised Terms shall not bind you. If you continue to use BC Platform Services after the Revised Terms take effect, your continued use shall constitute your acceptance of the Revised Terms.
- Notices
8.1 Valid Contact Information
When using specific BC Platform service plans, you should provide BioCode with truthful and valid contact information (including your email address, contact phone number, mailing address, etc.). You are obligated to promptly update such information if changed and maintain uninterrupted accessibility.
System messages and site letters generated under your BC Platform login account upon registration shall also serve as valid contact channels for you.
BioCode may deliver all types of Notices to you via one or more of the above contact channels. The content of such Notices may materially affect your rights and obligations, and you shall monitor them promptly.
You may opt to receive commercial information such as product advertisements and promotional offers via the mobile phone number or email address you provided during registration. If you do not wish to receive such information, you may unsubscribe via the dedicated unsubscribe functions provided by BioCode.
8.2 Service of Notices
Notices issued by BioCode to you via the above contact channels shall be deemed duly served upon successful dispatch as follows:
- Electronic written notices including platform announcements, SMS to your contact phone number, emails to your email address, instant messages, system notifications and site letters to your Account: deemed served upon successful transmission;
- Hard-copy written notices sent via post to your provided mailing address: deemed served on the fifth natural day following posting.
For any disputes arising from transactions on the BC Platform, you consent those judicial authorities (including but not limited to people’s courts) may serve legal documents (including litigation documents) to you via modern communication methods such as SMS and email, or postal delivery. You designate the mobile phone number, email address and mailing address you provided or updated during BC Platform registration as your designated channels for receipt of legal documents. Service of legal documents to the aforesaid contact channels by judicial authorities shall constitute valid service.
You consent that judicial authorities may adopt one or multiple service methods to deliver legal documents to you, and service shall be deemed complete as of the earliest delivery date among all adopted methods.
You agree that the above service methods shall apply to all stages of judicial proceedings, including without limitation first instance, second instance, retrial, enforcement and summary proceedings.
When subscribing to specific service plans, you should ensure your contact information provided is accurate and up-to-date and update it promptly. If legal documents cannot be served or are delayed due to inaccurate contact information or failure to notify BioCode of updated contact details, you shall bear all resulting legal consequences personally.
- Paid Services
9.1 Relevant services on the BC Platform are provided on a paid basis. If you use paid services, you shall comply with corresponding agreements governing such services.
9.2 Please read all agreements governing paid services carefully prior to payment. Save for circumstances stipulated in the agreements, BioCode shall not process refunds. Refund methods shall vary in accordance with payment channels selected, and Users shall strictly follow specified refund procedures and cycles to recover refunds.
9.3 BioCode may revise and adjust pricing standards and methods for paid services and may convert certain free services to paid services. BioCode shall post notifications or announcements on corresponding service pages prior to implementing such revisions, adjustments or paid conversions. If you disagree with such revisions, adjustments or paid terms, you should cease using the relevant services.
- Termination of Agreement
10.1 Circumstances of Termination
[User-Initiated Termination]
You may terminate this Agreement via any of the following methods:
- Self-deactivate your Account via website self-service functions upon satisfying account cancellation criteria published on BioCode Network;
- Cease platform use and explicitly reject Revised Terms prior to their effective date;
- Explicitly notify BioCode of your intention to discontinue BC Platform Services, provided platform termination criteria are met.
[BioCode-Initiated Termination]
BioCode may terminate this Agreement by notifying you in the manner set forth in Clause 8 upon occurrence of any of the following circumstances:
- You commit a breach of this Agreement, and BioCode terminates this Agreement in accordance with the breach clauses;
- You steal third-party accounts, publish prohibited content, defraud others of property, sell counterfeit goods, disrupt market order or seek improper gains via illegal means, and BioCode freezes your Account pursuant to BC Platform Rules;
- You repeatedly violate BC Platform Rules with severe circumstances, and BioCode freezes your Account pursuant to BC Platform Rules;
- Your Account is recovered by BioCode pursuant to this Agreement;
- You engage in fraud, publish or sell counterfeit/infringing goods, infringe third-party legitimate rights and interests, or commit other severe illegal or contractual breaches on the BC Platform;
- Other circumstances warranting service termination.
10.2 Post-Termination Arrangements
[Disclosure of User Information] Following termination of this Agreement, BioCode shall have no obligation to disclose any information held under your Account to you or your designated third parties, unless explicitly required by law.
[BioCode’s Residual Rights] After termination of this Agreement, BioCode retains the following rights:
- Continue to store all categories of information specified in Clause 5 of this Agreement submitted by you to the BC Platform;
- Pursue liability for breach of contract against you for any prior breaches committed during the term of this Agreement.
[Transaction Handling] After termination of this Agreement, BioCode may notify transaction counterparties of all orders generated during the term of this Agreement and decide whether to close such orders based on the counterparties’ wishes. If the transaction counterparty requests performance of the order, you shall continue to perform all obligations under this Agreement and the relevant order and bear all losses or additional costs incurred therefrom.
Governing Law, Jurisdiction and Miscellaneous
[Governing Law]
The formation, validity, interpretation, revision, supplementation, termination, enforcement and dispute resolution of this Agreement shall be governed by local laws; where no relevant legal provisions exist, commercial and/or industry customs shall apply by reference.
[Jurisdiction]
Any disputes arising out of or related to your use of BC Platform Services shall first be resolved through negotiation between BioCode and you. If negotiation fails, either party may institute litigation with Xuhui People’s Court.
[Severability]
If any clause of this Agreement is deemed invalid, void or unenforceable, such clause shall be treated as severable and shall not affect the validity and enforceability of all remaining clauses of this Agreement.

Preliminary Reminder
BioCode reminds you: Prior to using all BC Platform Services, you must carefully read and fully understand this Statement. If you have any questions regarding the content of this Statement, you may consult BC Platform Customer Service. If you disagree with this Statement or any of its content while reading it, you shall immediately cease using BC Platform Services. Your continued use of BC Platform Services shall constitute full acceptance of all content of this Statement.
Rights Statement
Ownership of Rights
Unless otherwise stated by BioCode, all ownership rights (including without limitation copyright, trademark rights, patent rights, trade secrets and all other associated rights) to all products, technologies, software, programs, data and other content on the BC Platform (including text, images, photographs, audio, video, charts, color schemes, page layouts, electronic documents, etc.) shall vest exclusively in BioCode or its Affiliated Companies. Without BioCode’s written consent, no person may use such content in any manner (including without limitation monitoring, reproducing, disseminating, displaying, mirroring, uploading or downloading any BC Platform content via robots, crawlers or other programs or devices).
The BC Platform Logo, the word mark “BioCode”, their graphic combinations, and other identifiers, emblems, product and service names of the BC Platform are trademarks of BioCode and its Affiliated Companies in China and other jurisdictions. Without BioCode’s written authorization, no person may display, use or otherwise deal with such trademarks, nor represent to third parties that you hold the right to display, use or otherwise deal with them.
Limitation of Liability
Given that BC Platform operates as an electronic bulletin board (BBS), all store and product information on the BC Platform (including store names, corporate names, contact persons and contact information, product descriptions, related images, videos, etc.) are uploaded and provided by Members, who shall bear corresponding legal liability for all information they upload.
Republished content on the BC Platform (including forum posts) is shared solely for information dissemination purposes and does not constitute BioCode’s endorsement of such views or verification of the authenticity of such content.
Intellectual Property Protection
BioCode respects intellectual property rights and opposes infringement and piracy. If intellectual property right holders believe any content on the BC Platform (including product information published by BC Platform Members) may infringe their legitimate rights and interests, they may submit a written notice to BioCode, which shall process the matter promptly upon receipt.
Translation Notes for Official External Release
- All legal terminology follows Hong Kong & mainland China cross-border commercial contract standard English expressions for regulatory compliance;
- Proper nouns (company name, domain names, court name) retain official fixed translations without paraphrasing;
- Bold/underlined liability exemption clauses are marked descriptively in text to match the original document’s reminder logic;
- Ambiguous Chinese colloquial contract wording is standardized into formal, enforceable legal English without altering original liability allocation;
